4. Intellectual Property Rights

All content, materials, and information available on our Website, including but not limited to text, graphics, logos, images, photographs, audio clips, digital downloads, data compilations, software, icons, designs, page layouts, color schemes, and any other proprietary content (collectively, "Content"), are the exclusive property of Papa Ginos or its licensors and are protected under United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), trademark laws, trade dress protections, and other applicable regulations.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Website and Services solely for your personal, non-commercial use, subject to these Terms. This license does not include:

5. Payment Terms

5.1 Pricing and Payment

All prices displayed on our Website are in United States Dollars (USD) and are subject to applicable federal, state, and local sales taxes, delivery fees, and service charges, which will be clearly itemized at checkout. We reserve the right to modify our prices at any time without prior notice, provided that orders already confirmed will be honored at the price displayed at the time of ordering.

We accept the following payment methods:

  • Major credit cards (Visa, Mastercard, American Express, Discover)
  • Debit cards
  • Digital payment platforms (such as PayPal, Apple Pay, Google Pay), where available
  • Gift cards or promotional credits issued by Papa Ginos

5.2 Order Confirmation

An order is not confirmed until you receive an official order confirmation from us via email or notification. We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to cases where there are errors in pricing or product descriptions, suspected fraudulent activity, or inability to process payment.

5.3 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final. However, if you are unsatisfied with your order due to an error on our part, such as incorrect items delivered or a significant quality issue, we will endeavor to resolve the issue through a replacement, credit, or refund at our discretion. Refund requests must be submitted within 24 hours of receiving your order by contacting us at [email protected].

5.4 Chargebacks

Initiating a chargeback with your payment provider without first contacting us is a violation of these Terms. We reserve the right to dispute any chargeback we believe to be made in bad faith and to suspend or terminate accounts associated with fraudulent chargeback activity.

6. Disclaimers and "As-Is" Basis

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT, INFORMATION, PRODUCTS, AND MATERIALS PROVIDED THROUGH OUR WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

PAPA GINOS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • WARRANTIES AS TO THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY CONTENT OR INFORMATION PROVIDED ON THE WEBSITE.
  • WARRANTIES THAT ANY DEFECTS WILL BE CORRECTED OR THAT THE WEBSITE OR SERVER IS FREE OF VIRUSES OR BUGS.

Nutritional information, allergen data, and ingredient descriptions provided on our Website are offered for informational purposes only and may not be entirely accurate due to variations in preparation, suppliers, and portion sizes. Customers with food allergies, dietary restrictions, or medical conditions should contact us directly at [email protected] before placing an order.

We do not warrant that any specific menu items will be available at any given time. Availability is subject to change without notice.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, IN NO EVENT SHALL PAPA GINOS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
  • PERSONAL INJURY OR PROPERTY DAMAGE ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, OUR SERVICES;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;
  • ANY CONTENT POSTED, TRANSMITTED, OR MADE AVAILABLE THROUGH THE SERVICES BY ANY THIRD PARTY;

EVEN IF PAPA GINOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PAPA GINOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in their entirety. In such cases, our liability will be limited to the greatest extent permitted by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Papa Ginos, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service;
  • Your use or misuse of the Services or Website;
  • Your violation of any applicable federal, state, or local law or regulation;
  • Your infringement of any intellectual property or other rights of any third party;
  • Any content or information you submit, post, or transmit through the Website;
  • Your breach of any representation or warranty made in these Terms;
  • Any dispute between you and another user of our Services.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses.

9. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Papa Ginos is registered and operates, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the federal or state courts located within the appropriate jurisdiction of the state where Papa Ginos conducts its primary business operations. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

These Terms are also subject to applicable federal consumer protection laws enforced by the Federal Trade Commission (FTC) under the FTC Act (15 U.S.C. § 41 et seq.), as well as all applicable food safety regulations, including those promulgated by the Food and Drug Administration (FDA) under the Federal Food, Drug, and Cosmetic Act (21 U.S.C. § 301 et seq.) and the Food Safety Modernization Act (FSMA).

To the extent that any of our customers are located in the State of California, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) may provide additional rights. Please refer to our Privacy Policy for details on how we handle California residents' personal data.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal dispute resolution procedure, you agree to first contact Papa Ginos directly and attempt to resolve the dispute informally. Please send a written description of your complaint to [email protected] with the subject line "Dispute Notice." We will endeavor to respond within 30 business days and work in good faith to resolve the issue to mutual satisfaction.

10.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, the breach thereof, or your use of the Services shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA) or the JAMS arbitration service, as mutually agreed upon by the parties. The arbitration shall be conducted in English and shall take place in the jurisdiction where Papa Ginos maintains its principal place of business, unless otherwise agreed.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The prevailing party in arbitration shall be entitled to recover reasonable attorneys' fees and costs, to the extent permitted by applicable law.

10.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

10.4 Small Claims Court

Notwithstanding the above, either party may bring an individual claim in small claims court if the claim qualifies under the applicable small claims court rules, provided such action remains in small claims court and is not removed or appealed to a court of general jurisdiction.

10.5 Exceptions

Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm, protect intellectual property, or enforce confidentiality obligations.

11. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use our Services. We reserve the right, in our sole discretion and without prior notice, to:

  • Suspend or terminate your access to all or part of the Services for any reason, including but not limited to violation of these Terms;
  • Remove or disable any content or account that we determine, in our sole discretion, to be in violation of these Terms or otherwise harmful to the Company or other users;
  • Discontinue, modify, or cease offering any or all Services at any time.

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligations incurred prior to termination, including outstanding payments or legal liability.

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination — including but not limited to Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution — shall survive any termination of these Terms.

12. Changes to Terms

Papa Ginos reserves the right to modify, amend, update, or replace these Terms of Service at any time at our sole discretion. When we make material changes to these Terms, we will notify you by:

  • Updating the "Last Updated" date at the top of this page;
  • Posting a prominent notice on our Website;
  • Sending an email notification to the address associated with your account (for registered users).

Your continued use of our Website or Services after the effective date of any modified Terms constitutes your acceptance of such changes. If you do not agree to the revised Terms, you must immediately cease using our Services and, if applicable, deactivate your account.

We encourage you to review these Terms periodically to stay informed of any updates. The most current version of the Terms will always be available at cafe-papaginos.digital.

13. Third-Party Links and Services

Our Website may contain links to third-party websites, services, or resources that are not owned or controlled by Papa Ginos. These links are provided for your convenience only. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

We strongly advise you to review the terms of service and privacy policies of any third-party websites you visit. Your use of third-party services is at your own risk, and Papa Ginos shall not be liable for any damages or losses caused by your reliance on any third-party content, goods, or services.

14. Food Safety and Allergen Notice

Papa Ginos takes food safety seriously and complies with all applicable local, state, and federal food safety regulations. However, we cannot guarantee that our food items are completely free from allergens or contaminants, as our products may be prepared in facilities that handle common allergens including but not limited to:

  • Gluten / Wheat
  • Dairy / Milk products
  • Eggs
  • Peanuts and tree nuts
  • Shellfish and fish
  • Soy
  • Sesame

If you have severe food allergies or dietary restrictions, you are solely responsible for determining the suitability of our products for your specific needs. We recommend contacting us directly at [email protected] before placing an order if you require detailed allergen information.

15. Privacy Policy

Your privacy is important to us. Our Privacy Policy, available on our Website, describes how we collect, use, store, and protect your personal information in accordance with applicable United States privacy laws, including the California Consumer Privacy Act (CCPA/CPRA) for California residents and applicable FTC regulations. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy, which is incorporated into these Terms by reference.

16. Force Majeure

Papa Ginos shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government restrictions, civil unrest, strikes, supply chain disruptions, power failures, cyber-attacks, or any other force majeure event. In such circumstances, our obligations under these Terms will be suspended for the duration of the force majeure event.

17. Severability

If any provision, clause, or portion of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be deemed severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

The parties agree that the court or arbitrator shall have the authority to modify any unenforceable provision to give it the maximum effect permitted by applicable law while preserving, to the greatest extent possible, the original intent and economic effect of the provision.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published on our Website, constitute the entire agreement between you and Papa Ginos with respect to your use of the Services. These Terms supersede all prior and contemporaneous negotiations, discussions, agreements, representations, and understandings between you and Papa Ginos, whether written or oral, relating to the subject matter herein.

No failure or delay by Papa Ginos in exercising any right or remedy under these Terms shall be deemed a waiver of such right or remedy, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise of the same or any other right or remedy. A waiver of any right must be in writing and signed by an authorized representative of Papa Ginos to be effective.

19. Electronic Communications

By using our Services, you consent to receive electronic communications from Papa Ginos, including but not limited to order confirmations, receipts, account notifications, promotional materials (where consented to), and legal notices. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq.
